These Terms of Service ("Terms") govern access to and use of the Jugazo platform, including its mobile applications and any associated websites (together, the "Platform"), operated by TOJO FOOTBALL (ABN 82 327 955 407) ("Jugazo", "we", "us", "our").
By creating an account, accepting a Club invitation, or otherwise using the Platform, you agree to be bound by these Terms. If you are creating or managing a Player account on behalf of a child, you agree to these Terms both on your own behalf and, where applicable, as set out in Section 4 (Guardian Responsibilities).
If you do not agree to these Terms, you must not use the Platform. Clubs must ensure their staff, and Primary Guardians must ensure any Supporting Adults and Players they add, are made aware of these Terms as a condition of use.
Capitalised terms used throughout these Terms have the meanings below. Additional role-specific terms are defined in Section 4.
The Platform supports two categories of account: adult accounts (parents/guardians, coaches, and administrative staff) and Player accounts for children. Adult accounts require a verified email address or a supported single sign-on method. Player accounts do not require an email address and are created and managed exclusively by a Primary Guardian, consistent with the account model in the Jugazo product specification.
You must be at least 18 years old to create an adult account, to be appointed to any Club staff role, or to act as a Primary Guardian or Supporting Adult. A Player account may only be created and used by or on behalf of a child under the direct supervision and authority of their Primary Guardian.
Each adult may hold only one Platform-level account, which may carry multiple roles (for example, a parent who is also a coach) and relationships to multiple Clubs or Players. You must provide accurate information when creating an account and keep your login credentials confidential.
The Primary Guardian is solely responsible for: creating and maintaining the accuracy of the Player's account; deciding which Supporting Adults are granted access to the Player's information and at what permission level; resetting the Player's login credentials when needed; and reviewing content visible to or generated by the Player.
Jugazo and any Club using the Platform take no role in determining who should or should not be a Supporting Adult. This decision, and any dispute about it, sits entirely with the Primary Guardian.
Jugazo and any Club are not equipped to verify, arbitrate, or enforce custody arrangements, parenting orders, or family disputes. Any disagreement between a Player's parents or guardians about access to the Player's account, Supporting Adult status, or visibility of the Player's information must be resolved between those parties directly, including through appropriate legal channels where necessary, and not through Jugazo or the Club. Jugazo and the Club may act on the instructions of the recognised Primary Guardian on the Platform without independently investigating the underlying family situation.
A Player's use of the Platform is at all times subject to the oversight of their Primary Guardian. Coaches and Club staff may communicate with Players only through the Platform's defined communication channels (Section 8) and only within the scope of their coaching role.
Player accounts must not use a real photograph as a profile image. The Platform provides a parameter-based avatar system for this purpose, and Jugazo will not knowingly permit real images of a Player to be used as their account avatar.
Clubs access the Platform under a paid Club Subscription. Pricing, billing frequency, and payment terms are set out in the applicable order form or Club Subscription agreement. Fees are payable in advance and, except as required by law or expressly stated, are non-refundable.
If a Club Subscription payment fails and is not remedied within the applicable grace period, the Club enters Billing Suspension. During Billing Suspension, all Club members retain full read access to existing information; only new content creation and write actions are restricted. Billing Suspension is lifted automatically on successful payment.
Jugazo may suspend a Club's write access, including all live communication threads, where Jugazo reasonably believes the Club, a staff member, or another user has breached these Terms or raised a safeguarding concern. This suspension is applied at Jugazo's discretion, is not automatic, and requires documented resolution before it is lifted.
Regardless of suspension type or duration, a Player's own permanent record — including their Individual Development Plan history, career points, and badges — remains accessible to the Player and their Primary Guardian at all times. Jugazo does not delete Club or Player data solely because a Club is suspended or ceases paying; data is retained on a read-only basis consistent with Section 9.
Either party may terminate a Club Subscription in accordance with the applicable order form. On termination, Club staff access to administrative functions ends, but Players and Primary Guardians retain access to Player-owned data as described above.
When using the Platform, you must not:
Jugazo may investigate suspected breaches and take action including content removal, account suspension, Club suspension (Section 5.3), or referral to relevant authorities, including police or child protection agencies, where required by law or where Jugazo reasonably believes a child may be at risk.
As between the Club and Jugazo, Content originated directly by a Club's coaches, Technical Director, or Coordinators (drills, diagrams, written session plans, and similar original material) remains owned by the Club or the individual author, subject to the licence granted to Jugazo in Section 7.3 to host, store, and display it for the Club's use of the Platform.
Any Content sourced from outside the Club — including external video links, uploaded documents, or imported drills or materials — must only be uploaded by a staff member who holds the necessary rights or licence to share it, and who confirms this via the required attestation at the point of upload.
Responsibility for the accuracy of that attestation, and for any resulting copyright or licensing liability, rests solely with the uploading staff member and their Club. Parents, Primary Guardians, Supporting Adults, and Players are never responsible for copyright or licensing issues arising from Content they view or use as intended within the Platform in the course of ordinary participation in Club activities.
By submitting Content to the Platform, you grant Jugazo a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display that Content solely as necessary to operate and provide the Platform to the relevant Club and its members. This licence ends in relation to specific Content only where its deletion is technically and legally appropriate, noting the Platform's broader retention and audit-trail principles (Section 9).
The Platform itself, including its software, design, and branding, is owned by Jugazo. Club Branding features permit visual customisation of a Club's own experience but do not transfer any underlying Platform IP to the Club.
The Platform provides defined communication channels (including Family, Parents-only, Team social, and Staff development threads) rather than open, unmonitored messaging. All messages sent through the Platform form part of an immutable audit trail as described in Section 9.2.
Every Club using the Platform must appoint a Safeguarding Officer. The Safeguarding Officer role, and the Club's broader safeguarding obligations, are governed by the applicable state or territory child safety and reportable conduct scheme, and by the Club's own safeguarding policy, which operates alongside these Terms. Jugazo provides tools to support this function (an audit log, a Working With Children Check compliance dashboard, and an escalation workflow) but does not itself act as a Club's Safeguarding Officer or assume a Club's safeguarding obligations.
Clubs are responsible for verifying that staff hold and maintain a valid Working With Children Check (or equivalent) as required by law in their jurisdiction. The Platform's WWCC status tracking is a compliance aid for the Club's Safeguarding Officer and does not itself constitute verification or certification by Jugazo.
Jugazo's collection, use, storage, and disclosure of personal information — including information about children — is set out in the Jugazo Privacy Policy, which forms part of these Terms by reference. Jugazo handles personal information in accordance with the Australian Privacy Principles under the Privacy Act 1988 (Cth).
Chat messages and certain other records (including feedback and IDP goal history) are retained on an immutable, non-deleting basis to support Club safeguarding obligations and dispute resolution. This means that, other than in exceptional circumstances required by law, messages and records cannot be permanently deleted by users, Clubs, or Jugazo, even at the request of the person who created them.
Where a Primary Guardian or Player wishes to exercise a right of access, correction, or complaint regarding personal information held in this audit trail, they may do so under the Privacy Policy; this may not always result in deletion of the underlying record, given its safeguarding and audit purpose.
Consistent with Section 5.3, Club and Player data is not automatically deleted where a Club is suspended, ceases its subscription, or closes. Data is retained on a read-only basis unless deletion is requested and legally appropriate, or required under applicable data retention law.
Player accounts must use the Platform's parameter-based avatar system rather than a real photograph, as set out in Section 4.3. This restriction applies specifically to the Player's account avatar; it does not itself govern separate media (such as team photos) a Club may choose to handle outside the Platform, which remain subject to the Club's own policies and the Privacy Policy.
The Platform is provided as a coaching and club-management tool. It does not provide medical, psychological, or professional coaching advice, and Content within the Training Content Library reflects the views of its individual authors and Club promotion decisions, not a guarantee of suitability for any particular Player.
To the maximum extent permitted by law, Jugazo excludes all warranties not expressly stated in these Terms, and limits its liability for any claim arising from use of the Platform to the amount paid by the relevant Club in the twelve months preceding the claim. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee or other right that cannot lawfully be excluded, including under the Australian Consumer Law.
Jugazo may suspend or terminate any individual account for breach of these Terms, including the Acceptable Use provisions in Section 6, or where Jugazo reasonably believes doing so is necessary to protect a child or other user. Where reasonably practicable, Jugazo will provide notice of the reason for suspension or termination, except where doing so would compromise a safeguarding investigation.
A user may close their own adult account at any time; a Primary Guardian may request closure of a Player's account. Closure does not require deletion of records retained under Section 9 where retention is necessary for safeguarding, audit, or legal purposes.
Jugazo may update these Terms from time to time, including to reflect new features, legal requirements, or safeguarding practice. Material changes will be notified to registered users through the Platform or by email in advance of taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
This Section 13 applies where the Platform is distributed as a mobile application through Apple's App Store or Google Play, and forms Jugazo's End-User Licence Agreement (EULA) for that purpose. Where this Section conflicts with any other part of these Terms solely on licensing matters covered below, this Section governs to the extent of that conflict.
Subject to your compliance with these Terms, Jugazo grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to download, install, and use the Jugazo mobile application on any Apple-branded or Android-branded device that you own or control, and as permitted by the applicable app store's usage rules (including Apple's App Store Usage Rules where relevant). You must not copy, decompile, reverse engineer, disassemble, rent, lease, sell, redistribute, or create derivative works of the application, except to the extent applicable law expressly permits despite this restriction.
You acknowledge that this EULA is between you and Jugazo only, and not with Apple Inc. or Google LLC (each, a "Platform Operator"). Jugazo, not the Platform Operator, is solely responsible for the application and its content.
The licence granted to you is limited to a non-transferable licence to use the application on an Apple-branded or Android-branded product that you own or control, as applicable, and as permitted by the Usage Rules set forth in the applicable app store's terms of service.
Jugazo, not the Platform Operator, is solely responsible for providing any maintenance and support services with respect to the application, as may be required under applicable law. The Platform Operator has no obligation whatsoever to furnish any maintenance or support services with respect to the application.
Jugazo is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the application to conform to any applicable warranty, you may notify the Platform Operator, and the Platform Operator will refund the purchase price (if any) for the application; to the maximum extent permitted by applicable law, the Platform Operator has no other warranty obligation whatsoever with respect to the application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are Jugazo's sole responsibility, subject to Section 10 of these Terms.
Jugazo, not the Platform Operator, is responsible for addressing any claims by you or a third party relating to the application or your possession and/or use of it, including: (a) product liability claims; (b) any claim that the application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation.
Jugazo, not the Platform Operator, is responsible for the investigation, defence, settlement, and discharge of any third-party claim that the application, or your possession and use of it, infringes that third party's intellectual property rights.
You represent and warrant that you are not located in a country subject to a government embargo, or that has been designated a "terrorist supporting" country, and that you are not listed on any government list of prohibited or restricted parties.
You must comply with any applicable third-party agreement when using the application, including your wireless data service agreement, which may impose data or other charges.
You acknowledge and agree that each Platform Operator, and each Platform Operator's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of these Terms, each Platform Operator will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of it.
Questions, complaints, or claims regarding the application should be directed to Jugazo at the contact details in Section 15, and not to the Platform Operator.
These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from these Terms or use of the Platform will first be addressed through Jugazo's internal complaints process before either party pursues formal legal action, except where urgent injunctive relief is required or where a safeguarding matter requires immediate referral to authorities.
Questions about these Terms, or requests relating to personal information, can be directed to admin@tojofootball.com.
